Terms of use for cryptonix mobile application (Custodial wallet)

1. Acceptance of terms

By downloading, accessing, or using the Cryptonix mobile application (“the App”), the services, features, content, or applications offered by CRYPTONIX d.o.o. (“Company,” “we,” “us,” or “our”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Use (“Terms”) and our Privacy Policy, which is incorporated herein by reference. If you do not agree to all of these Terms, you are prohibited from using the App and must discontinue use immediately.

2. Nature of the custodial service and authorization

Custodial Wallet: The App provides a custodial wallet service. This means that the Company securely stores the private keys associated with your cryptocurrency addresses on your behalf. You are granting the Company the right and authority to hold, control, and manage your cryptographic assets in accordance with these Terms and your instructions via the App.

Your Instruction: By initiating a transaction through the App (e.g., a withdrawal or exchange), you are providing a valid and authorized instruction to the Company to execute that transaction on your behalf. The Company is entitled to rely on such instructions and is not required to verify the identity of the person providing them beyond the standard login credentials.

3. Eligibility and account registration

Age and Capacity: You represent and warrant that you are at least 18 years old and have the full legal capacity to enter into a binding agreement.

Compliance: You are solely responsible for ensuring that your use of the App complies with all laws, regulations, and rules applicable in your jurisdiction.

Account Security: You are solely responsible for:

a) The confidentiality of your login credentials (email, password, two-factor authentication codes).

b) All activities that occur under your account.

c) Securing your device and email account from unauthorized access.

The Company cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation. You must immediately notify us at [email protected] if you suspect any unauthorized use of your account.

KYC/AML Verification: As a regulated financial service, we require all users to complete our identity verification procedures (“Know Your Customer” or “KYC” and “Anti-Money Laundering” or “AML”) before being granted full access to the App. You agree to provide accurate, current, and complete information for this purpose and to promptly update it if necessary.

4. Services and transactions

Services: The App allows Users to store, deposit, withdraw, and exchange supported cryptocurrencies, create and manage invoices, and track payment statuses.

Transaction Confirmation: You acknowledge that cryptocurrency transactions are probabilistic and become final only after a sufficient number of network confirmations. The Company determines the number of confirmations required for each cryptocurrency at its sole discretion.

Right to Refuse: We reserve the right to refuse to process, cancel, or reverse any transaction at our sole discretion, particularly if we suspect it is erroneous, fraudulent, illegal, or violates these Terms. We may also be legally compelled to do so by a court order or other binding authority.

5. Fees and taxes

Service Fees: The Company’s fee schedule for various services will be clearly disclosed to you within the App prior to your confirmation of any transaction. You retain the right to reject a transaction if you do not agree with the fees.

Network Fees: The Company will deduct all necessary network fees (e.g., “gas” fees) from the transaction amount or your wallet balance. These fees are paid to the network validators, not retained by the Company as profit.

Taxes: You are solely responsible for determining, reporting, and paying any taxes applicable to your cryptocurrency transactions. The Company may be legally obligated to report certain transaction information to tax authorities.

6. Risks disclaimer

CRYPTOCURRENCIES ARE HIGHLY VOLATILE AND SPECULATIVE. USING THE APP CARRIES SIGNIFICANT FINANCIAL RISK, INCLUDING BUT NOT LIMITED TO:

6.1. The risk of losing the entire value of your assets due to market fluctuations.

6.2. Regulatory changes that may adversely affect the use or value of cryptocurrencies.

6.3. The risk of loss due to hacking, cybersecurity breaches, or other malicious acts targeting the Company’s systems (despite all our security measures).

6.4. The insolvency or operational failure of the Company or its third-party service providers.

You expressly acknowledge and assume all these risks. You should only use the App with funds you are willing to lose.

7. Prohibited activities

You agree not to use the App for any unlawful or prohibited purpose, including but not limited to:

7.1. Money laundering, terrorist financing, or violating any financial regulations.

Fraud, deceit, or scams.

7.2. Transacting in illegally obtained funds.

7.3 Evading taxes or other legal obligations.

7.4. Interfering with or disrupting the integrity or performance of the App.

7.5. Attempting to gain unauthorized access to the App, our systems, or another user’s account.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CRYPTONIX D.O.O., ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

8.1. YOUR USE OR INABILITY TO USE THE APP.

8.2. ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN.

8.3. ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE APP.

8.4. ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE APP.

8.5. ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE APP.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE TOTAL AMOUNT OF FEES YOU HAVE PAID TO THE COMPANY IN THE PAST 12 MONTHS, OR ONE HUNDRED DOLLARS (100 USD), WHICHEVER IS GREATER.

9. Indemnification

You agree to defend, indemnify, and hold harmless CRYPTONIX d.o.o., its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt (including attorney’s fees) arising from: (a) your use of and access to the App; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your use of the App caused damage to a third party.

10. Termination

By You: You may stop using the App at any time by contacting support. You may be required to withdraw your funds and complete KYC procedures to close your account fully.

By Us: We may, at our sole discretion, suspend or terminate your access to the App immediately, without prior notice or liability, if you breach these Terms, if we are required to do so by law, or if we deem it necessary to protect the security of our service or other users.

11. Governing law and dispute resolution

These Terms shall be governed and construed in accordance with the laws of Bosnia and Herzegovina. Any dispute, controversy, or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Istočno Novo Sarajevo.
